Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MineralSearch platform, website, and services (collectively, the "Service") operated by Hasten Enterprises LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

MineralSearch is an oil and gas data platform that provides access to Texas well data, mineral ownership records, drilling permits, production history, lease records, operator information, and Gulf of Mexico offshore data. All data is sourced from public government agencies including the Railroad Commission of Texas (RRC), county appraisal districts (CADs), the Bureau of Ocean Energy Management (BOEM), and the Bureau of Safety and Environmental Enforcement (BSEE).

2. Account Terms

• You must be at least 18 years of age to create an account and use the Service.
• You are responsible for maintaining the confidentiality of your account credentials, including your password.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.
• You may not share your account credentials with others or allow multiple individuals to use a single account.
• You must notify us immediately at support@mineralsearch.io if you become aware of any unauthorized use of your account.

3. Subscription and Billing

• Subscription Plans. Access to the Service requires a paid subscription. Current pricing is listed on our website at mineralsearch.io/#pricing.
• Auto-Renewal. Subscriptions automatically renew at the end of each billing period (monthly) unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.
• Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of that period.
• Refunds. We do not provide refunds for partial months. If you cancel mid-cycle, your access continues through the end of the current billing period, but no prorated refund will be issued.
• Payment Processing. All payments are processed securely through Stripe. We do not store your full credit card information on our servers.
• Price Changes. We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Free Trial

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. We reserve the right to modify or discontinue the free trial at any time.

5. Data Accuracy Disclaimer

All data provided through the Service is sourced from publicly available government records and agencies. While we strive to present this data accurately, we make no guarantee, warranty, or representation regarding the accuracy, completeness, reliability, or timeliness of any data available through the Service.

• Data may contain errors, omissions, or outdated information from source agencies.
• The Service is not a substitute for professional legal, financial, or geological advice.
• You should independently verify any data before making business, investment, or legal decisions.
• We are not responsible for any decisions made or actions taken based on data obtained through the Service.

6. Intellectual Property

• The Service, including its design, features, functionality, code, and original content, is owned by Hasten Enterprises LLC and is protected by applicable intellectual property laws.
• Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service and its data for your own internal business purposes.
• Data exported from the Service may be used for your internal business operations, including title research, due diligence, and investment analysis.
• This license does not grant you ownership of any data or content provided through the Service.

7. Prohibited Use

You agree not to:

• Scrape, crawl, or use automated tools to extract data from the Service beyond normal use of the platform's built-in export features.
• Redistribute, resell, sublicense, or make the data available to third parties as a competing data service or product.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
• Use the Service to transmit malware, spam, or any harmful content.
• Use the Service in any manner that violates applicable local, state, or federal law.
• Interfere with or disrupt the integrity or performance of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HASTEN ENTERPRISES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hasten Enterprises LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

• You may terminate your account at any time by canceling your subscription and contacting us at support@mineralsearch.io.
• We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.
• Upon termination, your right to access the Service ceases immediately. We are not obligated to retain or provide any data from your account after termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hasten Enterprises LLC regarding the Service and supersede all prior agreements and understandings.
